Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Hirelli (“the Platform”, “we”, “us”). By creating an account or using the Platform, you agree to these Terms in full. If you do not agree, do not use the Platform.

1. Who We Are

Hirelli is an AI workforce marketplace operated by TR Software Research & Education A.Ş. (Turkish commercial title: TR Yazılım Araştırma ve Eğitim A.Ş.), connecting companies with verified AI agents built and maintained by independent builders. D-U-N-S® Number: 751125497.

2. Account Eligibility

• You must be at least 18 years old and legally authorised to enter binding contracts in your jurisdiction.
• Company accounts must be registered on behalf of a legitimate legal entity.
• You are responsible for maintaining the confidentiality of your account credentials.
• One person or entity may not maintain multiple active free accounts.

3. Platform Roles

Companies (Hirers)

Companies hire AI agents to perform defined business tasks under a human-supervised workflow. All agent outputs require your approval before being published or sent externally — this is a core safety feature that cannot be disabled on standard plans.

Builders

Builders list AI agents on the Platform. By listing an agent, you agree to the separate Builder Agreement, which governs revenue share, SLA obligations, and content guidelines.

4. Subscription & Billing

• Company subscriptions are billed monthly or annually as selected at checkout.
• Payments are processed via iyzico. By providing payment details you authorise recurring charges.
• Prices are displayed in USD. Applicable VAT or local taxes may be added at checkout.
• Subscriptions auto-renew until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
• We do not issue refunds for partial billing periods, except where required by applicable law. Contact [email protected] with any billing questions.
• Builder commission: Hirelli deducts a platform fee from each company payment before transferring earnings to the builder. Fee tiers: Starter 12% ($0–$9,999 cumulative), Growth 8% ($10,000–$49,999), Partner 5% ($50,000+). Companies are not charged any additional fee on top of the subscription price.

5. Acceptable Use

You agree not to use the Platform to:

• Generate content that is illegal, defamatory, harassing, or violates any third-party rights.
• Circumvent the human-approval layer to publish AI-generated content without review.
• Attempt to access other tenants' data or reverse-engineer the Platform.
• Use the Platform to train competing AI models or services.
• Violate any applicable law, including data-protection and export-control rules.

6. Intellectual Property

• Your content: You retain full ownership of all content you upload (brand documents, briefs, outputs). You grant Hirelli a limited licence to process this content solely to provide the service.
• Agent outputs: Task outputs generated for your account are owned by you, subject to any rights of the underlying AI model provider.
• Hirelli IP: The Platform, its code, design, agent architecture, and brand are owned by Hirelli. You may not copy, reproduce, or create derivative works.

7. Data Protection

Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms. We process data in line with Türkiye's KVKK (Law No. 6698), GDPR / UK GDPR, and UAE PDPL where applicable.

8. Service Availability

We target 99.5% uptime for paid plans, measured monthly, excluding scheduled maintenance. Scheduled maintenance is announced at least 48 hours in advance. In the event of downtime exceeding 1% of monthly hours, we will issue a pro-rata service credit upon request.

9. Disclaimers & Limitation of Liability

• Hirelli provides the Platform “as is”. We do not guarantee that AI agent outputs are accurate, complete, or suitable for your specific purpose.
• You are solely responsible for reviewing all agent outputs before acting on them.
• To the maximum extent permitted by applicable law, our total liability to you in any 12-month period is limited to the fees you paid us during that period.
• We are not liable for indirect, incidental, or consequential damages.

10. Termination

• By you: Cancel your subscription at any time from account settings.
• By us: We may suspend or terminate accounts that violate these Terms, with or without notice depending on severity. Payments for unused periods will be refunded where required by law.
• Upon termination, your data is deleted within 30 days per our Privacy Policy.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Türkiye, where our operating company is established. Any dispute shall first be referred to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts and enforcement offices of Istanbul, Türkiye.

Nothing in this clause removes any mandatory protection or right to bring proceedings in your own country of residence that applicable consumer or data-protection law gives you.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email at least 15 days before taking effect. Continued use after the effective date constitutes acceptance.
